The capital is just the beginning
A retail raise leaves you with more than capital: a base of shareholders who are also your customers and advocates.

Raise on your terms, not your lead investor's
Most of our customers were not choosing between platforms. They were choosing between rounds, and for a lot of good companies a priced round is no longer the best one.
This is not an argument against venture capital. Plenty of our customers have institutional investors, and many run a retail raise alongside an accredited round.
Think of it as diversifying your capital stack: institutional equity, maybe some debt, and a retail raise alongside them, so you are not dependent on a single source in a market that can turn quickly.
Retail capital is available on your terms, at a moment when a lot of institutional capital is not.
One partner, not four vendors
A retail raise needs a platform, a broker-dealer, a transfer agent, and a marketing team. We are all four, so you launch faster with everything in sync.
The marketing behind the raise.
The real constraint on a raise is demand, not software. We market it: $25M+ in media a year, publisher placements you cannot get on your own, and creative tested across more than $1B in raises. On a large raise, about half the capital traces to media and content.

FAQ
How is this different from a venture round?
+You keep control of the structure and the cap table, no board seat changes hands, and the capital comes from thousands of individual investors instead of one fund. The tradeoff is that you have to generate demand for the offering, which is the marketing we run.
Will this hurt our relationships with institutional investors?
+It generally helps. A large shareholder base is an asset in a later round or a listing. EnergyX closed partnerships with GM, POSCO, and Eni while its retail offering was live.
Can we run this alongside an institutional round?
+Yes. A Reg D offering for accredited investors can run in parallel with a Reg CF or Reg A+ for your community, with proper disclosure.
What if we do not have a large audience yet?
+Then the raise depends on paid marketing, and the honest answer is that it costs more and takes longer. We model that before you commit, and we will tell you if the numbers do not work.
How does the cost compare to dilution?
+Different shape entirely: a fee against capital raised rather than equity and control given up permanently. We walk through the full cost of capital on a strategy call.
How long does it take?
About 30 days for a Reg D, 60 for a Reg CF, 90 for a Reg A+ including SEC qualification.Let's model your raise
