1. Auto Issuance 

Auto Issuance is a massive game-changer for issuers using DealMaker as your Transfer Agent (DMTA). This automates the issuance of shares on the same day you accept and countersign an investment, integrating seamlessly with our shareholder ledger for real-time updates.

This means (when enabled) DealMaker now automatically issues their securities in near real-time; including both the core shares they purchased and any bonus shares from a perks program. 

Think of Auto Issuance as your commitment to ownership engine.

It's as simple as:

  1. An investor commits and pays
  2. You accept and countersign in DealMaker
  3. Shares are issued in near real time
  4. Your Cap Table and investor portal update automatically


You can enable Auto Issuance alongside DealMaker’s new Auto Review and Auto Accept features to create an almost fully automated, high-velocity pipeline from investor commitment to share issuance. Or you can choose to customize that setup however you prefer with your Account Manager.

How Auto Issuance works:
  • The Trigger: Once you accept an investor in the platform, Auto Issuance kicks in automatically, handling the transfer agent operations without manual intervention.
  • Enhanced Perks Support: It pairs perfectly with Enhanced Perks (learn more below), automatically issuing bonus shares based on your defined criteria.
  • Investor Notifications: Investors receive immediate email confirmation of their ownership, complete with access to their holdings in DealMaker Engage.

This unlocks a more exciting investor experience where investors can view proof of ownership almost immediately. It also provides you with near real-time shareholder data so you can answer board & CFO questions quickly. Auto Issuance even helps you build a stronger foundation for future raises since your ownership records stay aligned as you go.

2. Real Time Cap Table

A brand new Cap Table experience, powered by Auto Issuance, is now available inside your DealMaker portal (for DMTA customers). Your cap table updates the moment you accept an investor. Now you can see your complete ownership picture across all offerings, and security types, in one place. This is a near real-time, always-current view of who owns what, making board conversations, compliance filings, and strategic planning dramatically easier.

Easily view ownership data across:

  • All of your different offerings in DealMaker (Reg CF, Reg A/A+, Reg D)
  • All supported security types (common, preferred, notes, different series and classes)
  • Each investor’s total holdings, aggregated across their multiple investments with you
Cap Table allows you to:
  • Search by investor name or email
  • Filter by deal or security type
  • Sort to find top shareholders
  • Export for reporting, board decks and filings

Because the Cap Table updates automatically as shares are issued, you always know where ownership stands when you prepare filings like 1-K, 10-K and 10-Q, discuss dilution and ownership with stakeholders, and plan future rounds and investor outreach.

As an issuer, you can now easily create and automate perks like bonus shares and discounts based on criteria such as investment timing, amount, or investor loyalty.

Design, display and fulfill perks (all inside DealMaker) in a way that is fully integrated into your checkout, agreements, issuance and investor portal. Enhanced Perks drive earlier conversions, increase average investment amounts, and reward your most loyal supporters. 

How this empowers your raise:

  • Seamless Integration Across Your Funnel:
    Perks are visible from your landing page through checkout and into the subscription agreement, creating a consistent experience that builds excitement and encourages upsells. Investors see exactly what they're eligible for in real-time, such as how close they are to the next tier, which can nudge them to invest even more.
  • Automated Fulfillment:
    When paired with Auto Issuance, bonus shares are issued automatically, ensuring everything aligns with what investors see in their agreements. Just set it up once and let DealMaker’s platform handle the rest.
  • Data-Driven Remarketing:
    Gain clean insights into which investors received perks, so you can segment and re-engage them via DealMaker Engage for future offerings or VIP treatment.

Enhanced Perk Types:
  1. Free Shares – Grant shares or a non-monetary perk at no cost to existing shareholders or their associates using a custom code. This is perfect for rewarding your community, incentivizing friends and family referrals, or thanking early champions and ambassadors. You can set a maximum number of free shares available.
  2. Time-Based Perks – Offer early-bird incentives tied to a specific calendar window. All investments that fund during that period receive the defined perk. This creates urgency and flattens your funding curve by pulling dollars in earlier. You can configure up to five time-based tiers with escalating bonuses.
  3. Loyalty-Based Perks – Reward specific groups of investors, including existing shareholders and repeat investors. These perks recognize and deepen your relationship with your community. When investors belong to multiple loyalty groups, they can receive stacked bonuses.
  4. Volume-Based Perks – Incentivize larger investments by tying bonus shares or perks to investment amount thresholds. Investors who make multiple investments that together reach a higher tier threshold qualify for that tier. You can configure up to eight volume tiers, and the system includes smart rounding so investors who are pennies away from a threshold still qualify.

Investors see their eligible perks from the landing page, through checkout, and into their subscription agreement. Enhanced Perks gives your investors full transparency – they know exactly what they are getting before they commit, which builds confidence and encourages larger investments. 

  • Volume tier thresholds appear as preset investment amounts for easier selection
  • Investors within $500 of the next volume tier see a nudge message
  • Checkout summary clearly displays all eligible perks and total shares
  • Subscription agreement reflects accurate perk information
  • Volume perks show a notification that final bonus shares will be applied at offering close

4. Creative Review

For issuers using DealMaker’s Marketing Services, our brand new Creative Review introduces a streamlined way to review and approve fundraising campaign assets, and marketing materials, such as paid social images and static ads. You now have a single, intuitive and fast workflow where everything happens in one place.

Key capabilities include:

  • On-Asset Commenting: Provide feedback directly on static images by clicking and annotating, with comments visible to everyone and no duplicative feedback.
  • Version Control and Automation: Assets update automatically with each round of feedback, with notifications keeping everyone in the loop.
  • Centralized Workspace: All reviews happen in one visual platform, reducing scattered files and speeding up iterations.

As an issuer, this means expediting approval times by up to 30%, so your high-quality ads go live sooner. In time-sensitive fundraising, this acceleration helps maintain momentum, attract more leads, and convert them into committed capital. It's all about getting your message in front of qualified investors even faster, amplifying your top-of-funnel efforts.

How Creative Review Works:

Step 1: Access Your Assets:
Receive a link to the creative assets ready for your review. Simple one-time sign-in using your email. All assets are displayed in a clean gallery view.

Step 2: Review and Provide Feedback:
Click directly on any part of an image to leave specific feedback. Use different shapes, draw freehand, change markup colors, or attach reference images. You can even directly upload replacement images if needed.

Step 3: Make a Decision:
For each asset, select one of the following: Approved (asset is ready to go live), Approved with Changes (minor tweaks), or Changes Required (which sends the creative back through the review process).

Once you make a decision on every asset, the DealMaker team is automatically notified. If changes were requested, the updated assets will come back for another streamlined review with side-by-side version comparison.

5. Seamless Accreditation for Reg D 506(c) Offerings

Reg D 506(c) offerings let you publicly market your raise and accept unlimited capital, but they require verification that every investor is accredited. We’re proud to announce that DealMaker has redesigned the accreditation verification process to make it faster, more reliable and even more effective. 

Now integrated directly into the checkout flow, it offers three clear options tailored to investor types (individuals, trusts, corporations):

  • Document Upload: Securely submit proof like tax returns or financial statements.
  • Third-Party Email Verification: Investors enter their CPA, lawyer, or advisor's email for digital confirmation. 
  • Reusable Verifications: Documents stay valid for 90 days across DealMaker offerings or five years with the same issuer.

Real-time status badges keep investors up to date. For you, this means quicker verifications, more reliable capital commitments and a significant reduction in rejected investments. It reflects professionally on your brand, building investor confidence and helping you close unlimited raises under 506(c) with public marketing capabilities.

When an investor completes checkout, you can have much higher confidence that the investment will stick. Investors know exactly what is required, have three easy ways to complete verification, and can see their status in real-time. Returning investors who have previously been verified can often skip the process entirely.

6. PII Compliance: Advanced Protection for Sensitive Investor Data

When investors commit capital, they are trusting you with highly sensitive personal information. We’re strengthening that trust by continuing to enhance platform-wide security by masking Personally Identifiable Information (PII) across the platform. 

From admin panels, to checkout, PII data is always concealed to the last four digits and full data remains securely stored for compliance needs. This provides Issuers with:

  • Investor Trust: Mirrors bank-level security, encouraging more commitments.
  • Reduced Liability: Minimizes exposure even in internal views, protecting against breaches.
  • Regulatory Alignment: Meets SEC and privacy standards, safeguarding your brand and trust.

This behind-the-scenes upgrade creates a trustworthy environment, allowing you to focus on raising without worrying about data risks. Your investor’s sensitive data is protected at every touchpoint with DealMaker.

  • Auto-Recognized Investor Profiles
    Returning investors now have their investment profile automatically pre-selected during checkout. This speeds up the investment process by taking the investor directly to the payment step when their information is recognized, reducing friction and increasing conversion.

  • Customizable Investor Checkout Header Text
    You can now customize the header text displayed above the contact fields in the investor checkout flow. This gives you flexibility to tailor the messaging, such as "Start Your Investment" or other preferred language, to better match your brand and investor experience.

Streamline Fundraise Operations:

  • Increased Auto-Review Frequency
    Auto-Review processing now runs six times per day (every two hours during business hours) instead of once per day. This accelerates the investor review cycle for issuers who have Auto-Review enabled, keeping your fundraising workflows moving faster.

  • Automated Agreement Refresh for KYC Checks
    When an investor corrects information and resubmits during a failed KYC match, their subscription agreement is now automatically re-signed. This ensures that the investor profile, subscription agreement, and all exports stay synced with the updated data without requiring manual resets.

  • Select Individual Investor as Default for IR-led Document Uploads
    The document upload workflow for issuer IR/investor review teams now automatically selects the correct investor when uploading documents on their behalf. This reduces manual dropdown selection and streamlines the review process with fewer clicks.

  • Send Test Emails from Platform
    You can now send a test version of any platform email to an address of your choice, allowing you to preview exactly how the message will appear in a real inbox before it is sent to investors. This helps ensure your communications are polished and professional.

Raise With Confidence:

  • New Auto-Issuance Confirmation Message
    For issuers who have Auto Issuance enabled, the platform now clearly informs you that accepting an investor will immediately issue their shares. This ensures full clarity before completing the countersign and issuance steps, so you always know exactly what will happen when you take action.

  • Expose Phone Number and Name Settings in Deal Settings
    Phone number and name field settings are now directly accessible in the deal settings page. You can require phone numbers, require name fields, or separate first and last names in checkout. These settings sync across both pages, creating a smoother and more flexible configuration experience.
